1. Agreement to Terms
These Terms of Use ("Terms") govern your access to and use of services provided by Atronus Technologies, Inc. ("Atronus," "we," "us," or "our"), including:
OmniBotX (omnibotx.ai) — multilingual AI chatbot platform
OmniServe Texas (omniservetexas.com) — notary, translation, immigration, and bookkeeping services
By creating an account, accessing our websites, or using our services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use our services.
If you are using our services on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.
2. Description of Services
OmniBotX
OmniBotX is a software-as-a-service platform that enables businesses to deploy AI-powered chatbots on their websites. The service includes bot configuration tools, conversation management, multilingual support, lead capture, and analytics. Subscription tiers include Small, Growth, and Enterprise plans with differing features and usage limits.
OmniServe Texas
OmniServe Texas provides bilingual professional services including notarization, document translation, immigration document preparation, IFTA/Form 2290 filing, bookkeeping, and tax preparation. Services are provided in Texas and (where authorized) other US states.
3. Account Registration
To use most features, you must create an account. You agree to:
Provide accurate, current, and complete information
Maintain the security of your password and account credentials
Notify us immediately of any unauthorized access
Be responsible for all activities under your account
Be at least 18 years old, or have legal authority to enter into these Terms
We reserve the right to suspend or terminate accounts that violate these Terms or are inactive for extended periods.
4. Subscription and Billing
OmniBotX is offered on a subscription basis. By subscribing, you agree to:
Pay the recurring fee for your selected plan (monthly or annual)
Authorize us to charge your payment method on each billing cycle
Keep your payment information current
Pay any applicable taxes
All fees are charged in US Dollars and processed by Stripe, our payment processor. Your billing date is determined by when your subscription begins.
If a payment fails, we will attempt to retry. If unsuccessful after a reasonable period, we may suspend or terminate your subscription.
Subscription fees are subject to change. We will provide at least 30 days' notice of any price increases via email or in-app notification.
5. Free Trials
OmniBotX may offer a 7-day free trial. During the trial:
You may use the service without charge
Your payment method is collected at signup but not charged until the trial ends
You may cancel at any time before the trial ends with no charge
If you do not cancel, your subscription will automatically begin and you will be charged
6. Refunds and Cancellation
You may cancel your subscription at any time through your account dashboard or by emailing support@atronus.com. Upon cancellation:
Your service continues until the end of the current billing period
You will not be charged for subsequent periods
Your data is retained for 30 days, then deleted unless you reactivate or request retention
Refund Policy: Subscription fees are generally non-refundable. We may issue refunds at our discretion for service issues, billing errors, or other circumstances. To request a refund, email support@atronus.com.
OmniServe Texas Services: One-time services (notary, translation, etc.) are non-refundable once delivered. Pre-paid deposits for services not yet rendered may be refunded subject to our standard policies.
7. Acceptable Use
You agree NOT to use our services to:
Violate any law, regulation, or third-party rights
Distribute spam, malware, or fraudulent content
Impersonate any person or entity, or misrepresent your affiliation
Engage in harassment, hate speech, or threatening behavior
Attempt to gain unauthorized access to our systems or other users' accounts
Reverse engineer, decompile, or extract source code from our services
Use the service to compete directly with Atronus
Resell or sublicense our services without written authorization
Use our services to process or store data subject to specialized regulations (such as HIPAA-protected health information, payment card data) without a separate written agreement covering such use
Generate content that violates the acceptable use policies of our underlying AI providers (currently Anthropic)
Exceed the usage limits of your subscription plan
Violations may result in immediate suspension or termination without refund.
8. Customer Content
You retain ownership of all content you submit to our services ("Customer Content"), including bot configurations, custom prompts, FAQs, and conversation data.
By using our services, you grant Atronus a limited, non-exclusive license to use your Customer Content solely to provide and improve the services. We do not claim ownership and will not use your Customer Content for advertising or unrelated purposes.
You are responsible for the legality and accuracy of your Customer Content and for any consequences of how the bot represents your business.
AI-Generated Content Notice: OmniBotX uses AI language models to generate responses. AI responses can be inaccurate, biased, or otherwise unreliable. You are responsible for reviewing and verifying AI output before relying on it for business decisions or customer communications.
9. Intellectual Property
OmniBotX, OmniServe Texas, the Atronus name, logos, software, designs, and all underlying technology are the exclusive property of Atronus Technologies, Inc. or our licensors. These Terms do not transfer any ownership to you.
You may not:
Copy, modify, or create derivative works of our services
Use our trademarks without prior written permission
Remove or alter copyright, trademark, or other proprietary notices
We respect intellectual property rights. If you believe content on our service infringes your copyright, contact legal@atronus.com with details, and we will respond in accordance with the Digital Millennium Copyright Act (DMCA) and similar laws.
10. Third-Party Services
Our services rely on third-party providers (Stripe for payments, Cloudflare for hosting, Anthropic for AI, Resend for email, Supabase for data storage, and others). Your use of our services is subject to those providers' terms and privacy practices, and we are not responsible for their actions or service availability.
We may integrate or link to other third-party services. Atronus does not endorse and is not responsible for third-party services.
11. Service Availability
We aim to keep our services available, but we do not guarantee uninterrupted access. We may:
Perform scheduled maintenance with reasonable notice
Experience unscheduled downtime due to technical issues, third-party outages, or factors beyond our control
Modify, suspend, or discontinue features at our discretion
We are not liable for losses arising from service interruptions.
12. Warranties and Disclaimers
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY AI-GENERATED OUTPUT.
YOU USE OUR SERVICES AT YOUR OWN RISK.
13. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, ATRONUS TECHNOLOGIES, INC., ITS OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
DAMAGES ARISING FROM YOUR USE OR INABILITY TO USE OUR SERVICES
DAMAGES FROM CONTENT GENERATED BY OUR AI OR THIRD-PARTY SERVICES
OUR TOTAL LIABILITY FOR ANY CLAIM SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR USD $100, WHICHEVER IS GREATER.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR LIMITATION OF LIABILITY, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
14. Indemnification
You agree to indemnify, defend, and hold harmless Atronus Technologies, Inc. and our officers, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
Your violation of these Terms
Your violation of any law or third-party rights
Your Customer Content or how you use our services
Disputes between you and your end users (if you use OmniBotX to interact with customers)
15. Termination
By you: You may terminate your account at any time through your dashboard or by emailing support@atronus.com.
By us: We may suspend or terminate your account immediately if you:
Violate these Terms
Fail to pay subscription fees
Engage in fraudulent or harmful behavior
Use the service in ways that risk our infrastructure or other users
Upon termination, your right to use the services ends immediately. Sections that by their nature should survive termination (including IP, liability, indemnification, and dispute resolution) will survive.
16. Changes to Terms
We may update these Terms from time to time. We will post the updated version on this page with a new "Last Updated" date. For material changes, we will provide at least 30 days' notice via email or in-service notification.
Your continued use after changes take effect constitutes acceptance. If you do not agree to changes, you must stop using the services and may cancel your subscription.
17. Governing Law
These Terms are governed by the laws of the State of Texas, United States, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
18. Dispute Resolution
Informal Resolution
Before filing any legal claim, you agree to attempt to resolve the dispute informally by contacting us at legal@atronus.com. We will work in good faith to resolve the issue within 30 days.
Jurisdiction and Venue
Any legal proceedings arising out of or related to these Terms shall be brought exclusively in the state or federal courts located in the State of Texas, and you consent to the personal jurisdiction of those courts.
Class Action Waiver
You agree to bring any claim against Atronus only in your individual capacity, not as a plaintiff or class member in any class or representative proceeding, to the fullest extent permitted by law.
19. General Provisions
Entire Agreement: These Terms (together with our Privacy Policy) constitute the entire agreement between you and Atronus regarding the services.
Severability: If any provision is found unenforceable, the rest remains in effect.
No Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.
Assignment: You may not assign these Terms without our consent. We may assign these Terms freely.
Force Majeure: Neither party is liable for delays or failures caused by circumstances beyond reasonable control.
Notices: Notices to you may be sent to your account email. Notices to us should be sent to legal@atronus.com.
